Licensor: Swiss Choice GmbH, a Swiss limited liability company with its registered seat in Feusisberg (Höfe district, Canton Schwyz, Switzerland) ("Swiss Choice", "we", "our", "us", or "Licensor").
We are pleased to make available the software, code, and protocols for the Borglife Protocol (as defined below) for your Non-Commercial use (as defined below), which includes internal, non-production testing and research for commercial entities, as set forth in this Borglife Non-Commercial License (the "License").
The "Borglife Protocol" means the Borglife software platform as published by Licensor under this License, including but not limited to its algorithms, source code, inference code, evaluation code, fine-tuning code (if applicable), checkpoints, parameters, configuration files, and any other materials associated with the Borglife system that Licensor expressly makes available under this License, together with any technical documentation, manuals, and instructions for use and operation thereof (collectively, the "Borglife Protocol").
For the avoidance of doubt, the Borglife Protocol consists only of the materials Licensor expressly publishes under this License. Licensor may, at its sole discretion, also make available certain elements under separate licenses (for example, specific code components under MIT, Apache 2.0, GPL, or other open-source licenses; or components under a separate commercial license). Nothing in this License will be deemed to restrict or limit any other licenses Licensor grants in such elements. Licensor reserves the right to keep other elements proprietary, closed-source, or trade-secret, and is under no obligation to release any particular component of the broader Borglife system under this License.
Acceptance. By downloading, accessing, using, Distributing (as defined below), or creating a Derivative (as defined below) of the Borglife Protocol, you agree to the terms of this License. If you do not agree to this License, then you do not have any rights to access, use, Distribute, or create a Derivative of the Borglife Protocol and you must immediately cease using the Borglife Protocol. If you are agreeing to this License on behalf of your employer or another entity, you represent and warrant that you have full legal authority to bind that entity. If you do not have such authority, you may not accept the License or access the Borglife Protocol on behalf of that entity.
a. "Derivative" means any (i) modified version of the Borglife Protocol (including but not limited to any customized or fine-tuned version thereof), (ii) work based on the Borglife Protocol, or (iii) any other derivative work thereof. For the avoidance of doubt:
b. "Distribution", "Distribute", or "Distributing" means providing or making available, by any means, a copy of the Borglife Protocol and/or any Derivatives.
c. "Non-Commercial Purpose" means any of the following uses, but only so far as you do not receive any direct or indirect payment arising from the use of the Borglife Protocol or Derivatives:

"Outputs" means any content or results generated by the operation of the Borglife Protocol or Derivatives from inputs provided by users, including but not limited to genome representations, metadata, logs, or other generated artifacts. For the avoidance of doubt, Outputs do not include any components of the Borglife Protocol itself, such as source code, model weights, parameters, or fine-tuned versions thereof.
e. "Borg IP" means the intellectual property embodied in Borgs evolved on or via the Borglife Protocol and represented by distinct on-chain records, including lineages, genetic traits, and associated royalties, as governed by separate smart contracts and agreements.
f. "Third-Party Component" means any software, code, library, model, dataset, asset, or other material that (i) is incorporated into or distributed with the Borglife Protocol, but (ii) was not originally authored by Licensor and is made available under a license other than this License (including but not limited to MIT, BSD, Apache 2.0, ISC, MPL, LGPL, GPL, AGPL, Creative Commons, or other open-source or third-party licenses).
g. "Consumer" means a natural person entering into this License for purposes that are wholly or mainly outside that person's trade, business, craft, or profession, where mandatory consumer-protection law applies.
h. "you" or "your" means the individual or entity entering into this License with Licensor.
i. "Permitted Ecosystem Participation" means ordinary participation through a Borg owned or controlled by you in a Licensor-operated or Licensor-authorised public Borglife ecosystem, using documented end-user interfaces or deployed smart contracts, to offer, request, perform, consume, pay for, or receive compensation for independently provided services or other participant-to-participant activity under the applicable protocol rules.
Permitted Ecosystem Participation includes operating your own Borg and offering compute, data, Bounty work, or other independently provided services through it.
Permitted Ecosystem Participation does not include deploying, hosting, reproducing, modifying, Distributing, sublicensing, selling, or offering the Borglife Protocol or a Derivative itself as software, infrastructure, a hosted service, SaaS, or a platform for third parties. Running client software solely to operate your own Borg within such a Licensor-operated or Licensor-authorised public ecosystem is included; operating a Borglife instance for third parties is not.
Subject to your compliance with this License, Licensor grants you a non-exclusive, worldwide, non-transferable, non-sublicensable, royalty-free, and limited license, terminable only as provided in Section 10, to:
This License is personal to you. You may not assign or sublicense this License or any rights or obligations under it without Licensor's prior written consent. Any attempted assignment or sublicense in violation of the foregoing will be void and will automatically and immediately terminate this License. Any restrictions set forth herein regarding the Borglife Protocol also apply to any Derivative you create or that is created on your behalf.
If you are an entity, your officers, employees, and contractors may exercise the rights granted to you solely on your behalf, within the scope of their duties or services to you, and under your direction and control, provided they are bound to comply with this License. You remain responsible for their acts and omissions. This paragraph does not give them independent rights, permit them to use the Borglife Protocol for their own or another person's benefit, or authorise you or them to operate a Borglife instance for third parties.
Except for Permitted Ecosystem Participation as expressly authorised below, you may only access, use, Distribute, or create Derivatives of the Borglife Protocol for Non-Commercial Purposes.
If you wish to use the Borglife Protocol or a Derivative for any commercial activity, you must obtain a separate commercial license from Licensor, which may be granted or denied in Licensor's sole discretion and may involve fees, royalties, or other conditions.
Notwithstanding the preceding Non-Commercial Purpose restriction, Permitted Ecosystem Participation is expressly authorised under this License even where you pay or receive compensation through the applicable protocol rules. Receipt of compensation from Permitted Ecosystem Participation does not, by itself, constitute commercial deployment or commercial exploitation of the Borglife Protocol or a Derivative.
A separate commercial license remains required for commercial deployment, hosting, resale, sublicensing, Distribution, modification, or provision of the Borglife Protocol or a Derivative itself outside Permitted Ecosystem Participation.
The grant of rights expressly set forth in this License constitutes the complete grant of rights to you in the Borglife Protocol. No other licenses are granted, whether by waiver, estoppel, implication, equity, or otherwise. Licensor reserves all rights in and to the Borglife Protocol not expressly granted by this License. In particular, Licensor is not obligated to release any particular component of the broader Borglife system under this License or under any other license.
Licensor does not claim ownership rights in and to the Outputs. You are solely responsible for the Outputs you generate and for your subsequent use of them.
You may use Outputs for any purpose (including commercial), subject to:
This License does not grant any rights to use the trade names, trademarks, service marks, product names, or logos of Licensor or any of its affiliates (including without limitation "Borglife", "BGLF", the Borglife logo, and related visual marks). Such marks are reserved by us and may be used only as required for reasonable and customary use in describing the origin of the Borglife Protocol and reproducing the content of any NOTICE or attribution file required by Section 5 (Distribution). You may not use these marks in a way that implies endorsement, partnership, sponsorship, or origin from Licensor.
Subject to your compliance with this License, Licensor grants you a perpetual (subject to defensive termination below), worldwide, non-exclusive, no-charge, royalty-free patent license under those patent claims now or in the future owned or controlled by Licensor that are necessarily infringed by the Borglife Protocol portions supplied by Licensor, when used for Non-Commercial Purposes or Permitted Ecosystem Participation. The license is limited to making, having made, using, importing, and otherwise transferring the Borglife Protocol, and Derivatives of it that you create under this License, within those authorised scopes.
This patent license does not extend to:
Defensive termination. If you (or any entity acting in concert with you) institute patent litigation against Licensor or any other recipient of the Borglife Protocol — including a cross-claim or counterclaim in a lawsuit — alleging that the Borglife Protocol or any Derivative constitutes direct or contributory patent infringement, then any patent license granted to you under this Section 2(f) shall terminate as of the date such litigation is filed. The remainder of this License continues to apply, subject to Section 10 (Termination) as it relates to your other obligations.
This License does not govern Borg IP. Rights in Borg IP, including the IP embodied in individual Borgs, lineages, genetic traits, and associated royalties, are determined by the applicable smart contracts and by any separate agreements between the relevant creators and owners. To the extent Outputs embody Borg IP, rights in such Borg IP are governed by those smart contracts and agreements, not by this License.
If Borgs mate or otherwise combine, any royalties, revenue sharing, or lineage-based allocations are determined and enforced by the applicable smart contracts or on-chain mechanisms, independently of this License.
There may exist independent Borgs or lineages that do not require sharing royalties, as determined by smart contracts or other on-chain or off-chain arrangements, independent of this License.
Companies and individuals may build and offer proprietary or differently licensed software modules, models, or services that interface with the Borglife Protocol solely via documented interfaces ("protocol add-ons" or "Add-ons"). Such Add-ons are governed by their own licenses and do not alter the terms of this License for the core Borglife Protocol. For clarity, such Add-ons are not considered Derivatives under this License.
The Borglife Protocol may incorporate or be distributed with Third-Party Components. Each Third-Party Component is licensed to you under its own original license, not under this License. To the extent of any conflict between this License and the license of a Third-Party Component, the license of the Third-Party Component prevails with respect to that component. This License governs only those materials that Licensor itself authors and publishes under it; it does not grant rights in, restrict, or override the rights of any Third-Party Component.
Licensor maintains a third-party manifest in each relevant repository (typically THIRD_PARTY_LICENSES.md, a NOTICE file, a licenses/ directory, or equivalent), listing material Third-Party Components, their licenses, and the locations of the original license texts and attribution notices. You are responsible for complying with the licenses of all Third-Party Components you use, modify, or Distribute — including reproducing notices, providing source where required, and observing any copyleft obligations triggered by your distribution architecture.
Where the Borglife Protocol incorporates components licensed under copyleft licenses (including without limitation GPL, LGPL, AGPL, MPL, or EUPL), those components remain governed by their respective licenses, and the corresponding copyleft obligations — including, where applicable, source-availability, network-use disclosure under AGPL, and "share-alike" obligations — apply independently of this License.
Where Licensor itself distributes the Borglife Protocol with such components, Licensor will satisfy its own copyleft obligations through the manifest and source-offer mechanisms identified there. Where you Distribute the Borglife Protocol or any Derivative incorporating copyleft components, you are responsible for complying with the corresponding copyleft obligations on your distribution.
Licensor makes no representation or warranty that any particular Third-Party Component is architecturally separable from the rest of the Borglife Protocol, that incorporating it does not trigger copyleft obligations on a particular distribution, or that combining it with Closed Components or proprietary code does not result in a copyleft-contaminated work for the purposes of any particular copyleft license. You are solely responsible for evaluating the legal effect of any distribution or combination you create.
Without limiting the foregoing, certain Borglife smart contracts (including without limitation Solidity contracts, ink! contracts, and Substrate pallets) are published under their own open-source licenses (permissive licenses such as MIT or Apache 2.0, or copyleft licenses such as GPL or AGPL, as identified in the relevant repositories). Those contracts are governed by their respective licenses and not by this License.
The broader Borglife system includes components that Licensor has chosen not to publish under this License or any other license, including but not limited to off-chain glue logic, business logic, model-orchestration code, operational tooling, hosted services, and proprietary integrations ("Closed Components"). Closed Components are not part of the Borglife Protocol as defined herein and are not licensed to you under this License. Licensor is under no obligation to publish, disclose, or grant any rights in Closed Components, and Licensor reserves all rights in and to Closed Components, including as trade secrets and confidential information.
The fact that a Closed Component interoperates with, calls into, or is called by the Borglife Protocol does not grant you any license to that Closed Component, and does not bring it within the scope of this License.
Subject to your compliance with this License, you may Distribute copies of the Borglife Protocol and/or Derivatives that you create, under the following conditions:
You must make a copy of this License available to all third-party recipients and specify that rights in the Borglife Protocol are granted directly by Licensor (Swiss Choice GmbH), not by you.
You must prominently display the following attribution notice in any distribution of the Borglife Protocol or Derivatives:
"The Borglife Protocol is licensed by Swiss Choice GmbH under the Borglife Non-Commercial License v1.1. © Swiss Choice GmbH."
If you Distribute any Derivative:
You must preserve all copyright notices, license texts, and attribution notices for Third-Party Components, and you must comply with the notice and source-availability requirements of each applicable Third-Party Component license.
You will not, and will not permit any third party to:
Use, modify, or Distribute the Borglife Protocol or any Derivative for commercial purposes except as expressly authorized in a separate written commercial agreement with Licensor, or otherwise in violation of Section 2(b).
This Section 6(a) does not prohibit Permitted Ecosystem Participation. It continues to prohibit commercial exploitation of the Borglife Protocol or a Derivative outside that exception.
Use the Borglife Protocol, any Derivative, or any Outputs for:
Remove, obscure, or alter any copyright notices, trademark notices, or other proprietary rights notices on or in the Borglife Protocol or any Derivatives, or remove or alter the attribution notices for any Third-Party Component.
Circumvent or attempt to circumvent any technical measures, security mechanisms, or access controls associated with the Borglife Protocol.
Impose terms on any recipients of the Borglife Protocol or any Derivative that conflict with this License or that would purport to restrict Licensor's rights in the Borglife Protocol.
Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas, algorithms, structure, or organization of any Closed Component, except to the extent such activity is expressly permitted by mandatory applicable law (and only to that extent).
Use Outputs to train, fine-tune, or distill a model that is substantially similar to or functionally substitutable for the Borglife Protocol's core capabilities, whether for commercial or non-commercial purposes.
The Borglife Protocol is provided "as is" and "as available" with no warranty of any kind. To the maximum extent permitted by applicable law, Licensor disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.
Licensor does not warrant that the Borglife Protocol or any Derivative will be error-free, secure, or uninterrupted, or that any defects will be corrected. Licensor makes no warranty regarding any Third-Party Component.
You and Licensor expressly acknowledge that (i) the Borglife Protocol is provided to you free of charge under this License, (ii) Licensor is operating an experimental research project and earns no fee or other consideration from you under this License, (iii) Licensor never receives possession or control of your property under this License, and (iv) the limitations and cap set out in this Section 8 reflect the absence of any consideration paid by you to Licensor and the express risk allocation accepted by you in exchange for the no-cost grant. The Parties consider these limitations reasonable and proportionate in light of these circumstances and the disclaimers in Section 7.
To the fullest extent permitted by applicable law, Licensor shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, value, data, or goodwill, arising out of or in connection with this License or your use of or inability to use the Borglife Protocol, Derivatives, or Outputs, even if Licensor has been advised of the possibility of such damages.
To the extent any liability is not excluded under Section 8(b), Licensor's total aggregate liability arising out of or in connection with this License shall be limited to one hundred Swiss francs (CHF 100).
The Borglife Protocol and any related materials are not designed or intended for use in any high-risk environments or applications (including but not limited to medical devices, aviation, nuclear facilities, critical infrastructure, or life-support systems), and Licensor disclaims any liability arising from such use.
Nothing in this License excludes or limits Licensor's liability for unlawful intent (rechtswidrige Absicht) or gross negligence (grobe Fahrlässigkeit) within the meaning of Article 100 paragraph 1 of the Swiss Code of Obligations, nor any other liability that cannot lawfully be excluded or limited under mandatory Swiss law (including, where applicable, mandatory consumer-protection law and product-liability law). Where mandatory law floors apply, this Section 8 shall be read subject to those floors and the remainder of this Section 8 shall remain in full force and effect.
The exclusions and limitations in this Section 8 apply to all heads of liability, whether in contract, tort (including negligence), strict liability, statutory, pre-contractual, or otherwise, and apply regardless of the legal theory advanced, subject in each case to the mandatory-law floor in Section 8(e).
This indemnity applies to third-party claims caused by your specific breach, unlawful conduct, or rights infringement — not to ordinary good-faith use of the Borglife Protocol or Derivatives.
You agree to indemnify, defend, and hold harmless Licensor and its affiliates, and their respective officers, directors, employees, contractors, and agents (collectively, the "Indemnified Parties"), from and against any third-party claim brought against an Indemnified Party, and any resulting damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) finally awarded against the Indemnified Party or paid in settlement by the Indemnified Party, in each case arising out of or relating to:
This indemnity does not apply to the extent the relevant claim, damage, or loss results from: (i) Licensor's unlawful intent or gross negligence within the meaning of Article 100 paragraph 1 of the Swiss Code of Obligations; (ii) any matter for which Licensor is required by mandatory Swiss law to bear liability and which cannot lawfully be shifted to you; or (iii) public-law fines, administrative penalties, or punitive amounts imposed on Licensor that cannot lawfully be indemnified or shifted under applicable law.
As a condition of the indemnity, the Indemnified Party shall (i) give you prompt written notice of the third-party claim; (ii) allow you to control the defence and settlement of the claim with counsel of your reasonable choice (provided that any settlement requiring an admission of liability or non-monetary obligation by the Indemnified Party requires its prior written consent, not to be unreasonably withheld); and (iii) provide reasonable cooperation at your expense.
Licensor may, at its discretion, set off any indemnification obligation you owe under this Section against any consideration Licensor holds for you or owes you. Where multiple licensees jointly cause the conduct giving rise to a third-party claim, their indemnification obligations are joint and several.
The following survive termination or expiration of this License: Sections 1 (Definitions, to the extent needed to interpret surviving provisions), 2(d) (Outputs), 2(e) (Trademarks), 2(f) (Patent License — solely as to claims and defences arising from lawful pre-termination acts, and the defensive-termination mechanics; no post-termination patent license is preserved), 4 (Third-Party Components and Closed Components), 5 (Distribution, with respect to copies you have already distributed), 6 (Restrictions), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 10(c) (Effect of Termination), 11 (Governing Law and Forum), and 12 (Miscellaneous). Any cause of action that has accrued before termination also survives.
This License will automatically terminate if you materially breach any of its terms, including but not limited to by:
If the material breach is capable of cure, your License rights will be reinstated automatically if you fully cure the breach within thirty (30) days of becoming aware of it or receiving notice from Licensor, whichever is earlier.
Upon termination of this License, you must immediately cease all non-compliant access to and use of the Borglife Protocol and any Derivatives.
During any cure period under §10(b), you may retain only those copies of the Borglife Protocol and any Derivatives reasonably necessary to effect the cure (for example, to remove infringing distribution, audit compliance, or verify removal of non-compliant components). If the breach is incurable, or is not fully cured within the thirty-day cure window, you must promptly delete or destroy all copies of the Borglife Protocol and any Derivatives in your possession or control.
Termination of this License will not affect your rights, if any, in Borg IP or Outputs that were lawfully created before termination, except that such rights remain subject to any applicable laws, smart contracts, and separate agreements. Termination of this License does not affect your rights, if any, under the licenses of Third-Party Components, which continue according to their own terms.
Licensor may cease distributing or supporting the Borglife Protocol at any time, without obligation to you.
A "Project Abandonment Event" occurs upon any of the following:
Upon a Project Abandonment Event, Licensor grants the copyright permissions stated in the MIT License text (canonical text: opensource.org/license/mit), subject to the following preserved restrictions and reservations (the resulting grant, the "Abandonment License"). The Abandonment License does not extend to uses prohibited by §6(b) of this License (Prohibited and High-Risk Uses); a use within the scope of §6(b) is unlicensed. Because that use restriction survives, the Abandonment License is not the unmodified MIT License and must not be represented as such. The following reservations also continue to apply:
If Licensor or a successor resumes active maintenance of the Borglife Protocol after a Project Abandonment Event, the conversion under §11(b) is irreversible; rights granted to existing licensees by the conversion are preserved.
Where the MIT License text conflicts with the preserved restrictions and reservations in §11(b)(i)–(iii) or with the §6(b) scope limit, those preserved restrictions and reservations prevail.
This License shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding (i) its conflict-of-laws rules and (ii) the United Nations Convention on Contracts for the International Sale of Goods (CISG).
You and Licensor agree that the ordinary courts at the registered seat of Swiss Choice GmbH (currently Höfe district, Canton Schwyz, Switzerland) have exclusive jurisdiction over any dispute, controversy, or claim arising out of or in connection with this License, including its existence, validity, interpretation, performance, breach, or termination. The Parties have not agreed to arbitration.
Where you qualify as a Consumer and mandatory consumer-protection law (including Articles 15–17 of the Lugano Convention 2007 in respect of consumers domiciled in a Lugano State to whom Licensor directs commercial or professional activities) entitles you to (i) bring proceedings in the courts of your domicile, or (ii) be sued only in those courts, the exclusive-forum rule in Section 12(b) shall be read subject to that mandatory entitlement and shall not be invoked against you to the extent it would override that entitlement.
a. Entire agreement. This License constitutes the entire agreement between you and Licensor with respect to the Borglife Protocol and supersedes all prior or contemporaneous agreements on that subject.
b. Severability. If any provision of this License is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Where applicable Swiss law permits the invalid provision to be reduced to a valid scope (geltungserhaltende Reduktion), it shall be so reduced; where Swiss law does not permit such reduction, the invalid provision shall be deemed deleted and replaced by a provision that the Parties would have agreed in good faith had they known of the invalidity, preserving the original intent of this License to the greatest extent permitted.
c. No waiver. No waiver of any term of this License will be deemed a further or continuing waiver of such term or any other term, and any failure to enforce any right or provision will not constitute a waiver of such right or provision.
d. Force majeure. Licensor shall not be liable for any delay or failure to perform any obligation under this License caused by events beyond its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, pandemic, network or chain outages, third-party-infrastructure failures, governmental action that was not reasonably foreseeable at the Effective Date, and other force-majeure events.
e. Headings. Section headings are for convenience only and have no legal or contractual effect.
f. Language. The English version of this License is the controlling version. Any translation is for convenience only.
g. Version and amendments. This License is published as Version 1.1 with the Effective Date set out above. Amendments and successor versions, if any, will be published with a clear version number and effective date and will apply only to copies of the Borglife Protocol distributed under that successor version.
